End User License Agreement (EULA)

Effective Date: January 12, 2026

1. Agreement to Terms

This End User License Agreement ("EULA" or "License Agreement") is a legal agreement between you ("Licensee", "you", or "your") and SAFER-i ("Licensor", "we", "us", or "our") for the use of the SAFER-i Transformation Platform software, including any associated documentation, updates, and services (collectively, the "Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE.

2. License Grant

Subject to the terms of this EULA and payment of applicable subscription fees, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Software via web browser or mobile application
  • Allow authorized users within your organization to access the Software
  • Use the Software solely for your internal business purposes
  • Store and process your business data within the Software

This license is limited to the number of users specified in your subscription plan.

3. Intellectual Property & Ownership

The Software is licensed, not sold. Licensor and its suppliers retain all right, title, and interest in and to the Software, including:

  • All source code, object code, and executable code
  • All algorithms, AI models, and predictive analytics engines
  • All user interfaces, designs, and visual elements
  • All documentation and specifications
  • All patents, copyrights, trademarks, and trade secrets
  • All derivative works and improvements

You acknowledge that the Software contains proprietary and confidential information protected by intellectual property laws. You acquire no ownership rights through this license.

4. LICENSE RESTRICTIONS

THE FOLLOWING ACTIVITIES ARE STRICTLY PROHIBITED AND WILL RESULT IN IMMEDIATE LICENSE TERMINATION AND POTENTIAL LEGAL ACTION:

4.1 REVERSE ENGINEERING PROHIBITION

You shall NOT, and shall not permit any third party to:

  • Reverse engineer - analyze the Software to discover its source code, algorithms, or structure
  • Decompile - convert the Software from object code to source code
  • Disassemble - reduce the Software to human-readable form
  • Decrypt - decode any encrypted portions of the Software
  • Derive - attempt to derive source code, algorithms, or data structures
  • Use any debugging, tracing, or analysis tools to examine the Software's operations
  • Analyze network traffic, API calls, or data exchanges
  • Attempt to reconstruct our AI models, algorithms, or predictive systems

4.2 DATA SCRAPING & HARVESTING PROHIBITION

You shall NOT, and shall not permit any third party to:

  • Scrape - use automated tools to extract data from the Software
  • Crawl - systematically browse or index the Software's content
  • Harvest - collect user data, content, or metadata
  • Mine - extract patterns or insights for external use
  • Use bots, spiders, scrapers, or automated scripts
  • Create databases or datasets from Software content
  • Use data for machine learning or AI training purposes
  • Systematically download or export data beyond normal use
  • Access the Software through any automated means

4.3 UNAUTHORIZED USE PROHIBITION

You shall NOT, and shall not permit any third party to:

  • Copy or reproduce the Software in any form
  • Modify or adapt the Software or create derivative works
  • Distribute, sublicense, or transfer the Software to any third party
  • Rent, lease, or lend the Software
  • Sell or resell access to the Software
  • Remove or alter any proprietary notices, labels, or marks
  • Circumvent any license key, access control, or security mechanism
  • Use the Software to develop a competing product
  • Benchmark or publish performance tests without written consent
  • Share credentials or allow unauthorized access
  • Exceed the licensed number of users

4.4 SECURITY RESTRICTIONS

You shall NOT, and shall not permit any third party to:

  • Attempt to bypass, disable, or circumvent security features
  • Probe, scan, or test the vulnerability of the Software
  • Access accounts or data belonging to other users
  • Introduce malware, viruses, or malicious code
  • Interfere with or disrupt the Software or servers
  • Overload the system with excessive requests

5. Consequences of Violation

Any violation of the restrictions in Section 4 may result in:

  • Immediate License Termination: Your license to use the Software will be terminated without notice and without refund.
  • Account Suspension: All user accounts associated with your organization may be suspended or deleted.
  • Legal Action: We reserve the right to pursue civil and criminal penalties to the fullest extent of the law.
  • Damages: You may be held liable for actual damages, statutory damages, and attorney's fees.
  • Injunctive Relief: We may seek immediate injunctive relief to prevent further violations.

6. Audit Rights

We reserve the right to audit your use of the Software to verify compliance with this EULA. You agree to:

  • Maintain accurate records of Software usage
  • Provide reasonable access for compliance verification
  • Cooperate with any audit requests
  • Pay for any unlicensed use discovered during an audit

7. Confidentiality

You acknowledge that the Software contains trade secrets and confidential information of Licensor. You agree to:

  • Maintain the confidentiality of all proprietary information
  • Not disclose any technical details or internal workings
  • Protect the Software with the same degree of care as your own confidential information
  • Notify us immediately of any unauthorized disclosure

8. Updates & Modifications

We may provide updates, patches, or new versions of the Software. Such updates:

  • Are subject to the terms of this EULA
  • May be installed automatically
  • May modify or remove features
  • Are provided at our sole discretion

9. Term & Termination

This license is effective until terminated. It will terminate automatically if you:

  • Fail to comply with any term of this EULA
  • Fail to pay subscription fees
  • Cease business operations

Upon termination, you must immediately cease all use of the Software and destroy any copies in your possession.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles. Any dispute arising under this EULA shall be subject to the exclusive jurisdiction of the courts of Singapore.

13. Export Compliance

You agree to comply with all applicable export laws and regulations. You shall not export or re-export the Software to any prohibited countries, entities, or individuals.

14. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements and understandings.

BY USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
