1. Introduction & Acceptance
Welcome to SAFER-i™ ("Platform", "Service", "we", "us", or "our"). By accessing or using our Transformation Platform, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our License Agreement.
If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement between you and SAFER-i™. We reserve the right to modify these Terms at any time, and your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
2. Definitions
- "Platform" refers to the SAFER-i™ web application, mobile application, APIs, and all related services.
- "User" refers to any individual or entity that accesses or uses the Platform.
- "Organization" refers to a company, business, or entity that subscribes to the Platform.
- "Content" refers to all data, text, images, forms, reports, and other materials uploaded to or generated by the Platform.
- "Subscription" refers to the paid access to the Platform's features and services.
3. License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes.
This license does not include the right to:
- Sublicense, sell, resell, transfer, assign, or distribute the Platform
- Modify or make derivative works based on the Platform
- Use the Platform for any commercial purpose other than your internal business operations
- Access the Platform in order to build a competitive product or service
4. Prohibited Activities
You expressly agree NOT to engage in any of the following prohibited activities:
4.1 Reverse Engineering
You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the Platform. This includes but is not limited to:
- Attempting to access or reconstruct any proprietary software, algorithms, or AI models
- Using debugging tools to analyze the Platform's operations
- Analyzing network traffic to understand Platform functionality
- Attempting to bypass any security measures or access controls
4.2 Data Scraping & Automated Access
You shall not use any automated means to access, scrape, harvest, or collect data from the Platform, including but not limited to:
- Web scraping, crawling, or spidering
- Using bots, scripts, or automated tools to access the Platform
- Extracting data for machine learning training purposes
- Creating databases or datasets from Platform content
- Systematic downloading of Platform content or reports
4.3 Unauthorized Use
You shall not:
- Share your account credentials with unauthorized parties
- Allow more users than your subscription permits
- Use the Platform for any unlawful purpose
- Interfere with or disrupt the Platform's operations
- Attempt to gain unauthorized access to other users' accounts or data
- Circumvent any usage limits or restrictions
- Use the Platform to transmit malware, viruses, or harmful code
- Impersonate another person or entity
4.4 Intellectual Property Violations
You shall not:
- Copy, reproduce, or duplicate any part of the Platform
- Remove or alter any copyright, trademark, or proprietary notices
- Use our trademarks, logos, or branding without written permission
- Create derivative works based on the Platform
5. Intellectual Property Rights
The Platform, including all software, algorithms, AI models, designs, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and documentation, is the exclusive property of SAFER-i™ and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
All rights not expressly granted in these Terms are reserved by SAFER-i™.
You retain ownership of any Content you submit to the Platform. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display such Content solely for the purpose of providing the Platform's services to you.
6. Subscription & Payment
- Pricing: Annual subscription based on selected tier: Associate Consultant ($9.90/year), Essential ($9,970/year for up to 25 users), Emerging ($35,880/year for up to 100 users), Scaling ($249,800/year for up to 1,000 users), or Enterprise ($259,800+/year for unlimited users). Additional users beyond tier limits are charged at $14.90/user/year.
- Currency: All prices are in USD.
- Billing: All subscriptions are billed annually in advance.
- Renewal: Subscriptions automatically renew unless cancelled 30 days before the renewal date.
7. Termination
We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Engagement in any Prohibited Activities
- Non-payment of subscription fees
- Request by law enforcement or government agencies
Upon termination, your right to use the Platform will immediately cease. We may delete your data 30 days after termination unless otherwise required by law.
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFER-I™ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
Our total liability shall not exceed the amount paid by you for the Platform in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless SAFER-i™, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any rights of another party
- Your Content submitted to the Platform
11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
By using SAFER-i™, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
